These Terms of Service ("Terms") govern your access to and use of CiteProof's website and services at citeproof.co (the "Service"), operated by Adrian Gramada, a sole proprietor (ditta individuale) established in Italy, Italian tax code (codice fiscale) GRMDNR91E16Z129D ("CiteProof," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
CiteProof provides tools to monitor and improve a business's visibility in AI answer engines (such as ChatGPT, Perplexity, Gemini, and Google AI Overviews), including automated audits, recommended fixes, a verification bot, and AI-assisted content generation. We may add, change, or remove features at any time.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information and for keeping your password secure. You are responsible for all activity under your account.
3. Subscriptions, Billing, and Trials
- Plans and pricing. Paid plans are billed in advance on a recurring monthly basis at the price displayed at checkout. Prices for U.S. customers are shown in U.S. dollars.
- Trial period. Where offered, a free trial period applies as described at checkout. If you do not cancel before the trial ends, your paid subscription begins automatically.
- Renewals. Subscriptions renew automatically until cancelled. You authorize us (through our payment processor) to charge your payment method for each renewal.
- Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Refunds. We offer a 14-day money-back guarantee: if you are not satisfied, you may request a full refund within 14 days of your first payment by emailing hello@citeproof.co. After 14 days, payments are non-refundable except where required by law.
- Price changes. We may change prices with notice before your next billing cycle.
4. Usage Quotas
Some features (such as content generation) are subject to monthly usage quotas tied to your plan. Quotas reset at the start of each billing period and do not roll over unless stated otherwise. We describe current quotas on our pricing page.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Submit websites or content you do not own or have permission to analyze.
- Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
- Resell or sublicense the Service without our written permission.
- Use the Service to generate misleading, infringing, or harmful content.
We may suspend or terminate accounts that violate these Terms.
6. Your Content and Data
You retain ownership of the websites, business information, and content you submit ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service. Content generated by the Service for you is yours to use, subject to these Terms and your responsibility to review it before publishing.
7. AI-Generated Output
The Service uses AI models to produce audits, recommendations, and content. AI output may contain errors or inaccuracies. You are responsible for reviewing all output before relying on or publishing it. We do not warrant that AI-generated content is accurate, complete, or fit for any particular purpose.
8. Intellectual Property
The Service, including its software, design, and trademarks, is owned by CiteProof and protected by law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.
9. Third-Party Services
The Service integrates with third-party services (such as WordPress, payment processors, and AI providers). Your use of those services is governed by their own terms. We are not responsible for third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will improve your visibility in any AI engine.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITEPROOF WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to indemnify and hold CiteProof harmless from any claims, damages, or expenses arising from your use of the Service, Your Content, or your violation of these Terms.
13. Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms or for operational or legal reasons. Upon termination, your right to use the Service ends.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date. Continued use of the Service after changes means you accept the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the jurisdiction of the competent courts of Volpiano (Torino), Italy, except where mandatory consumer-protection laws of your country of residence grant you the right to bring proceedings in your local courts.
